Rubisco Closed License (RCL)

Preamble

The Rubisco Closed License (RCL) is a closed-source software license that restricts
the use, modification, and distribution of the Software. It is intended for use with
proprietary software that the copyright holder wishes to protect from unauthorized
use or modification.

Terms and Conditions

1. Definitions

Software: The computer program or collection of computer programs licensed under this RCL.

Source Code: The human-readable form of the Software, including any accompanying
documentation and configuration files.

Object Code: The machine-readable form of the Software, including any libraries,
executables, or other compiled or assembled files.


2. Copyright

The copyright in the Software is held by the original author(s) or copyright holder(s).

3. License Grant

Subject to the terms and conditions of this RCL, the copyright holder hereby grants to you
a non-exclusive, non-transferable, limited license to:

Use the Software for your internal business purposes.

Make one backup copy of the Software for archival purposes.


4. Restrictions

You may not:

Modify the Software or create derivative works.

Reverse engineer, decompile, or disassemble the Software.

Distribute the Software or any part thereof to any third party.

Rent, lease, or sublicense the Software.


5. Support and Updates

The copyright holder is not obligated to provide any support or updates for the Software.

6. Warranty Disclaimer

The Software is provided "as is" without any warranty, express or implied. The copyright holder
disclaims all warranties, including any implied warranties of merchantability, fitness for a
particular purpose, and non-infringement.

7. Limitation of Liability

In no event shall the copyright holder be liable for any direct, indirect, incidental, special,
exemplary, or consequential damages (including, but not limited to, loss of profits, business
interruption, or loss of data) arising out of the use or inability to use the Software, even
if the copyright holder has been advised of the possibility of such damages.

8. Termination

This RCL shall terminate automatically if you fail to comply with any of its terms and conditions.
Upon termination, all rights granted to you under this RCL shall immediately cease.

9. Governing Law

This RCL shall be governed by and construed in accordance with the laws of the jurisdiction in
which the Software is primarily developed.
